Short History of Limited Liability Companies in the U.S.
Limited Liability Companies (LLCs) are a relatively new business entity in the United States. The decision to allow LLCs is left to each individual state. While other forms of business have been around for 100 years or more, the first LLC appeared in the U.S. in 1977. It is modeled after a German business formation option known as GmbH. Early LLCs and Tax Liability
The first LLC in the U.S. was formed in 1977 in Wyoming. When LLC legislation was first passed, it was not clear how the IRS would handle LLCs for tax purposes. Florida passed similar legislation allowing LLCs in 1982, but other states hesitated to enact similar laws because of the uncertainty over taxation. Early LLCs were taxed as partnerships, and this taxation treatment was made official in 1988 when the IRS decided to classify LLCs as partnerships for taxation.

After 1988, many other states began to adopt the LLC into state business legislation as well. Almost every state now offers some form of LLC option for business formation. Some key characteristics of LLCs in the U.S. include:
- Pass-through taxation: members are taxed for profits, not the company itself
- No double taxation
- Limited liability for financial losses and debts
- Option to be taxed as a sole proprietor, partnership, S corporation, or C corporation
